Technology Associate, San Francisco; Denver; New York City · Vault Top 30 Firm
This Vault Top 30 firm's Technology & Data practice seeks a mid-level associate (3–5 years) for transaction work spanning technology licensing, SaaS agreements, privacy, cybersecurity, and artificial intelligence. You'll draft and negotiate technology agreements, handle privacy and data protection provisions, counsel on compliance with U.S. and international privacy laws, and advise on data governance and vendor management. You'll support clients responding to cybersecurity incidents and privacy investigations, advise on AI and data-driven business models, and serve as the privacy and technology resource for M&A and corporate transactions.
The work:
- Draft, review, and negotiate technology agreements including licensing, SaaS and cloud services, development, reseller, and strategic alliance agreements
- Handle privacy, data protection, cybersecurity, and information governance provisions in transactions and partnerships
- Advise clients on compliance with U.S. and international privacy laws, including state consumer privacy laws, HIPAA, GDPR, UK GDPR, and emerging frameworks
- Support privacy compliance programs, data governance initiatives, data mapping, and cross-border data transfer strategies
- Assist clients responding to cybersecurity incidents, data breaches, and regulatory inquiries
- Advise on legal and regulatory issues related to artificial intelligence, digital advertising, and emerging data-driven business models
- Support M&A and other corporate transactions involving technology or data assets
What they're looking for:
- 3–5 years of experience in technology transactions, privacy, cybersecurity, or data protection
- Strong understanding of privacy compliance across U.S. state, GDPR, and other frameworks
- Ability to identify and assess privacy and regulatory risks in complex transactions
- Exceptional drafting and negotiation skills
- Experience with M&A, financing, outsourcing, or similar strategic transactions preferred
- Admission to the bar in the relevant jurisdiction
