A Vault Top 5 firm is hiring a mid-level associate for US capital markets work in its London office. The seat covers US securities offerings for issuers and underwriters accessing the international markets. The work is cross-border, run out of London under US law.

The work:

• Advise on SEC-registered and Rule 144A/Reg S debt and equity offerings.
• Draft and negotiate underwriting agreements, offering memoranda, and disclosure documents.
• Handle securities diligence and the closing process on multi-jurisdiction deals.
• Work directly with issuers, banks, and colleagues across the US and European offices.

What they're looking for:

• US qualification (required), with capital markets experience at a mid-level.
• Familiarity with US securities regulation and disclosure practice.
• Ability to run workstreams on cross-border transactions with limited supervision.
