A top-tier corporate law firm seeks an associate to join its labor transactions practice, focusing on pension and ERISA matters in the context of mergers, acquisitions, and restructurings. The role involves working with private equity firms, corporations, and financial sponsors to identify and manage pension liabilities and related risks in complex transactions.

The work:

• Advise clients on defined benefit pension plans in M&A and restructuring contexts
• Analyze pension liabilities and withdrawal obligations in multiemployer and single-employer plans
• Provide diligence support and deal structuring advice on pension-related risks
• Work with corporate finance, private equity, and restructuring teams on integrated transaction solutions
• Handle PBGC compliance and pension plan termination matters

What they're looking for:

• 1-8 years of ERISA and employee benefits experience
• Knowledge of defined benefit pension plans, multiemployer withdrawal liability, and plan terminations
• Experience analyzing pension liabilities in corporate transactions and restructurings
• Strong analytical skills with ability to work with financial and actuarial concepts
• Ability to coordinate across multiple practice areas
