Project Finance Senior Associate, New York City · Vault Top 100 Firm

A top-tier law firm's New York office is seeking a project finance lawyer with substantial debt finance or tax equity experience. You'll work on renewable energy, data center, and emerging technology financings with direct client contact and early business development opportunities.

The work:

• Prepare and negotiate credit agreements, intercreditor arrangements, and collateral documents for debt project finance
• Handle tax equity transactions including capital contribution and membership interest agreements
• Conduct due diligence on joint venture, offtake, EPC, and O&M agreements
• Advise on tax credit purchase agreements and related ancillary documentation
• Work on renewable energy, data center, carbon capture, and emerging technology financings
• Collaborate closely with the firm's energy and finance practices

What they're looking for:

• 4+ years of significant transactional experience in project finance or tax equity
• Deep knowledge of credit agreements, financing documents, and project agreements
• Strong negotiation and due diligence skills
