IP Transactions Associate, Multiple US Locations · Vault Top 10 Firm

A top-tier firm's IP transactions group seeks associates to join its offices across the U.S. You'll counsel investors, software companies, and branded consumer businesses on deals where intellectual property, technology, and brand value drive transaction economics. This role suits attorneys eager to work at the intersection of IP strategy and commercial deal-making.

The work:

• Advise on mergers, acquisitions, joint ventures, and carve-outs involving technology and IP assets
• Draft and negotiate purchase agreements, IP licenses, software arrangements, and brand license documents
• Counsel clients on IP implications in digital commerce, product launches, and emerging-tech deployments (AI, digital health, SaaS)
• Support deals across consumer brands, retail, software, and financial services
• Assess IP risk and commercialization opportunities for technology-driven transactions

What they're looking for:

• 3-5 years in IP transactions, technology licensing, or related transactional work
• Experience drafting and negotiating complex IP and technology agreements
