Employee Benefits and Compensation Associate, New York · AmLaw Top 30 Firm

An AmLaw Top 30 firm seeks an associate for its employee benefits and compensation practice in New York. You'll advise multinational and U.S. corporations on complex compensation matters in transactions and ongoing compliance.

The work:

• Advise on executive compensation and employee benefits plan design, implementation, and regulatory compliance
• Lead due diligence on compensation and benefits aspects of M&A and private equity transactions
• Draft and negotiate executive compensation and employee benefits transaction documents
• Ensure compliance with Section 409A and other federal requirements
• Advise multinational corporations on global reorganizations and post-closing compensation integration
• Serve as lead associate on transaction teams, collaborating across multiple practice groups

What they're looking for:

• Minimum 3 years of experience as a lawyer
• Deep expertise in executive compensation and employee benefits, including transaction due diligence
• Experience drafting and negotiating compensation-focused transaction documents
• Knowledge of 409A compliance and tax implications
• Ability to advise multinational corporations on global compensation structures
• Eligible to practice law in New York (hybrid arrangement with telecommuting 2 days/week within NYC metro)

Base compensation: $310,000 annually, with potential bonuses and profit-sharing.
