Emerging Companies & Venture Capital Associate, Salt Lake City · Vault Top-Tier Firm

Join a top-tier firm's Emerging Companies & Venture Capital practice in Salt Lake City. This role offers full-lifecycle exposure to startups and emerging growth companies, from early fundraising through pre-IPO stages, with work across venture financing, corporate governance, and the broader corporate platform.

The work:

• Help founders with company formation, governance policies, and equity compensation plans
• Draft and negotiate venture financing agreements, from seed and SAFE documents through late-stage preferred stock rounds
• Advise on convertible notes, rights of first refusal, co-sale agreements, and investor protection provisions
• Build expertise in Delaware corporate law and private tech company governance
• Work on general corporate matters spanning the full growth lifecycle

What they're looking for:

• 3-5 years in venture capital, startup representation, or emerging company law
• Deep knowledge of venture financing deals, investor documentation, and market-standard terms
• Experience representing both companies and investors in VC transactions
• Strong foundation in Delaware corporate law, startup compensation structures (options, RSUs, 409A valuations), and private company governance
• Law school class of 2021-2023
• Bar admission (or ability to obtain promptly) in Salt Lake City
• Salary range: $260,000-$365,000
