Compensation and Benefits Associate, Pittsburgh, Pennsylvania · Global Law Firm
A mid-level position in employee benefits and executive compensation, focused on due diligence and advisory work in M&A transactions. The role combines transactional benefits planning with substantive compliance and documentation.
The work:
- Conducting due diligence on employee benefit and executive compensation arrangements in M&A transactions
- Identifying and documenting material issues for buyers and sellers
- Drafting due diligence reports and transaction documentation
- Preparing and amending retirement and health and welfare plan documents
- Advising on equity and cash incentive programs, including stock options and restricted stock
- Handling tax compliance, including IRS correction programs and qualified plan filings
- Providing counsel on regulatory developments affecting employee benefits
What they're looking for:
- Two to six years of experience in employee benefits, executive compensation, or M&A law
- Demonstrated ability to draft complex plan documents, amendments, and transactional agreements
- Strong ERISA and tax knowledge as applied to retirement and health plans
- Experience with equity-based compensation programs
- Pennsylvania bar admission
- Ability to manage multiple matters and turn around tight deadlines
