Vault Top 30 firm across four US locations seeks associates with 2-6 years of M&A transactional experience in executive compensation and benefits. The employment and benefits practice group handles private equity transactions, public company M&A, IPOs, and asset sales, advising boards, management, and investors on compensation structure.

The work:

• Handle executive compensation and benefits portions of M&A transactions, IPOs, and asset sales
• Advise public and private companies, investors, and executives on compensation strategy and restructuring
• Draft and review employment agreements, severance arrangements, bonus plans, and equity compensation documentation
• Advise on ERISA compliance, federal and state tax laws, and securities regulations
• Partner across practice groups including tax and corporate for integrated client solutions

What they're looking for:

• 2-6 years of proven M&A transactional experience in executive compensation and benefits, ideally in law firm setting
• Strong knowledge of ERISA, tax laws, and securities regulations
• Excellent analytical and legal drafting skills with sharp attention to detail
• Ability to work both independently and collaboratively in team environments
• Familiarity with legal AI tools preferred
