Venture Capital Associate, Boston or New York · Am Law 100 Firm

Role at an Am Law 100 firm working with venture-backed companies and institutional investors throughout their growth stages. You'll handle deal documentation, company advisory matters, and investor-side work on capital raises and portfolio management.

The work:

• Prepare and negotiate venture financing documents including term sheets, SAFEs, convertible notes, preferred stock purchase agreements, and voting agreements
• Advise companies on formation, governance, equity issuance, and capitalization structure
• Represent investors in new investments and follow-on funding rounds
• Manage diligence and maintain client relationships

What they're looking for:

• 3-5 years corporate transactional experience in venture capital
• Background with Am Law 50 firm with venture or emerging companies practice preferred
• Experience on both company and fund sides
• Strong academic record and project management ability
• Massachusetts and/or New York bar admission or eligibility
