Venture Capital Associate, Boston and New York · Am Law 100 Firm

An Am Law 100 corporate practice seeks a venture associate with a minimum of four years working in capital structures and emerging growth company transactions. The role involves supervising junior associates while handling portfolio company financing and governance matters.

The work:

• Prepare and negotiate investment documentation, focusing on venture agreements and related transaction structures
• Counsel early-stage enterprises on equity programs, board management, and stockholder mechanics
• Build and develop junior associate capability through hands-on supervision and training
• Manage transactions from initial structuring through execution and documentation

What they're looking for:

• Four or more years in venture capital and emerging company transactional experience
• Admitted or eligible for admission in New York or Massachusetts
• Working knowledge of Excel and capitalization table analysis
• Daily facility with legal technology platforms and AI-assisted tools
• Strong written and verbal communication skills
• Ability to manage complex deal timelines and coordinate multiple parties
• Collaborative approach to client relationships and team work

Compensation: $310,000–$365,000 plus performance bonus. Office presence approximately 60% at Boston or New York locations. Requires JD or LLM from ABA-accredited institution.
