Senior Associate, Corporate M&A, New York · Magic Circle Firm

Magic Circle firm with globally recognized top-tier M&A practice seeks senior associate to lead private equity and corporate transactions in New York. You will handle complex deals for multinational corporations, financial institutions, and private equity sponsors across multiple industries and jurisdictions.

The work:

• Structure and execute private M&A and private equity transactions from commencement through closing
• Draft and negotiate acquisition agreements, equity documentation, disclosure schedules, and ancillary agreements
• Lead legal due diligence and analyze complex transactional documentation
• Advise clients on transaction structuring, risk allocation, and negotiation strategy
• Coordinate cross-border transactions with specialists in tax, finance, restructuring, antitrust, and employment disciplines
• Manage deal teams and mentor junior lawyers
• Support distressed and restructuring-related transactions

What they're looking for:

• Minimum 5 years' experience drafting, negotiating, and reviewing transaction documents in private M&A and private equity
• Demonstrated expertise in complex cross-border transactions and multi-jurisdictional work
• New York State Bar admission
• Track record advising private equity sponsors, financial institutions, and strategic acquirers
• Strong analytical and commercial problem-solving skills
• Ability to manage multiple workstreams and tight deadlines
• Compensation: $390,000–$435,000 annually
