Mid-Level Associate, New York · Vault Top 10 Firm

A global law firm with a leading M&A practice seeks a mid-level associate to support transformational domestic and cross-border mergers, acquisitions, and strategic transactions. The role focuses on complex deals for asset managers, private equity funds, and institutional investors, with substantial exposure to fund structure work and regulatory compliance across multiple jurisdictions.

The work:

• Draft and negotiate transaction documents including purchase agreements, merger agreements, investment advisory contracts, and fund documentation
• Conduct due diligence on fund structures, investor consents, compliance programs, custody practices, and regulatory risk exposure
• Advise on regulatory compliance under the Investment Advisers Act, Securities Act, Exchange Act, FINRA rules, and foreign equivalents
• Monitor regulatory developments and industry trends affecting the asset management sector
• Engage with domestic and international regulators on filings and legal submissions
• Support day-to-day legal work for asset managers and hedge funds, including corporate establishment and transformation matters
• Manage and mentor junior team members on multidisciplinary matters

What they're looking for:

• Juris Doctor and admission to the New York State Bar
• 3+ years of M&A and asset management transaction experience at a law firm
• Strong drafting and legal analysis skills with transaction document experience
• Ability to work across multiple jurisdictions
• Experience with fund structures and investment strategies
• Capacity to coordinate with clients, regulators, and cross-functional teams
