Mergers & Acquisitions Associate, San Francisco; Seattle; Portland · National Corporate Firm

This national corporate firm seeks a midlevel associate to strengthen its mergers and acquisitions practice. You'll support buy-side and sell-side transactions for private companies and strategic investors, with a focus on middle-market deals across multiple industries.

The work:

• Draft and negotiate purchase agreements, disclosure schedules, and ancillary transaction documents
• Manage due diligence review processes and coordinate deal team workstreams
• Advise on transaction structuring, deal timelines, and general corporate governance matters
• Work closely with partners and clients throughout the deal lifecycle
• Collaborate with attorneys in tax, real estate, employment, and technology practices on related matters

What they're looking for:

• 3 to 5 years of corporate transaction experience, preferably in private company M&A
• Strong drafting, analytical, and organizational abilities
• Ability to manage multiple workstreams in fast-paced deal environments
• J.D. from an accredited law school and admission (or eligibility) in California, Washington, or Oregon
• Demonstrated commitment to transactional practice and complex corporate matters

Salary range $215,000 to $290,000. Comprehensive benefits including health, dental, and vision insurance, 401(k), and life insurance. Approximately three weeks vacation annually plus 11 paid holidays. Discretionary annual bonus eligible.
