Managing Associate, Multiple US Locations · Vault Top 10 Firm

A top-tier global firm seeks a mid-level associate to join its partnership-track fund formation practice. The role offers meaningful client responsibility, mentorship from experienced partners, and exposure to an active pipeline of venture capital, growth equity, and emerging manager transactions.

The work:

• Advise fund sponsors and institutional investors on formation, regulatory compliance, and co-investment structures
• Draft and negotiate limited partnership agreements, private placement memoranda, subscription documents, and governance materials
• Counsel on SEC and state regulatory frameworks for private fund advisers and secondary transactions
• Support capital deployment across the innovation and emerging companies ecosystem

What they're looking for:

• 4-6 years of private fund formation and investment management experience
• Experience representing both sponsors and limited partners
• Knowledge of venture capital and growth equity fund dynamics and emerging manager platforms
• Strong client relationship skills and ability to manage multiple workstreams independently
• Excellent academic credentials, writing skills, and bar membership

Compensation: $310,000 to $390,000 annually, plus discretionary bonus and comprehensive benefits.
