Morgan Lewis's investment management practice advises private fund sponsors on formation, operations, and investor relations. This midlevel position offers substantive exposure to the full fund lifecycle across venture capital, private equity, and hedge fund mandates.

The work:

• Drafting and structuring agreements for fund formation, including limited partnerships, management companies, and carry structures
• Preparing fund offering materials and managing investor subscription and side letter processes
• Advising on secondary transactions, GP-led restructurings, and institutional co-investment arrangements
• Counseling clients on fund compliance under the Investment Company Act, Investment Advisers Act, and Securities Act
• Supporting general partner and management company operations

What they're looking for:

• 3-5 years at a large law firm
• Direct experience with private fund formation and structures
• Familiarity with private fund regulations and tax considerations
• Ability to work independently on transaction drafting and client advice
• Bar admission in Massachusetts, Illinois, California, New York, or Washington, DC
