Fund Formation Associate, Silicon Valley · Premier Technology Firm

A Silicon Valley funds practice at a firm known for its technology work is hiring a mid-level associate for venture and growth-fund formation. The seat sits with a group that advises fund sponsors on structuring, launching, and running private funds. You would work directly with sponsors on the terms that govern how their capital is raised and deployed.

The work:

• Draft and negotiate fund formation documents, including limited partnership agreements, subscription materials, and side letters
• Advise sponsors on fund structuring, economics, and governance across venture and growth strategies
• Handle investor negotiations and the diligence that comes with reaching a close
• Support sponsors on their regulatory and compliance obligations as investment advisers
• Coordinate with tax and regulatory colleagues on questions that cut across a fund

What they're looking for:

• Two to five years of fund formation or investment management experience
• Comfort drafting core fund documents and running investor negotiations with limited oversight
• California bar admission or eligibility to qualify
