Fund Formation Associate, New York · Premier Venture Capital Firm

This premier venture capital firm represents active venture capital and growth equity sponsors globally, focusing on fund formation and ongoing operations. The junior position on the Fund Formation team offers hands-on experience with high-profile fund sponsors from formation through operations.

The work:

• Preparing fund offering documents and drafting partnership, LLC, and governance agreements
• Processing investor subscriptions, negotiating investor side letters and terms
• Advising fund managers on securities law, fund structuring, and regulatory compliance
• Counseling on fund operations including conflicts of interest review, Investment Company Act compliance, and admission of new principals
• Supporting employment and commercial relationships for fund entities

What they're looking for:

• JD conferred 2024 or 2025
• Prior experience at a large law firm
• Strong academic credentials from a nationally recognized law school
• Preferred: Already licensed to practice in New York
• Interest in venture capital and growth equity fund practice
