Entrepreneurial Ventures Associate, Multiple US Locations · Major National Law Firm

A major national law firm seeks an associate for its entrepreneurial ventures practice, which advises early-stage and growth companies in life sciences, clean technology, SaaS, AI, and hardware/software sectors.

The work:

• Draft and negotiate venture capital investment agreements, including NVCA-based forms
• Manage multi-disciplinary due diligence across diverse industries and regulatory landscapes
• Prepare board governance materials and transaction documentation for portfolio company matters
• Handle capitalization table management, including convertible securities

What they're looking for:

• 3-5 years of venture capital and emerging company experience at a quality law firm
• Demonstrated expertise in corporate transactions and investment agreements
• Strong academic credentials, writing ability, and analytical skills
