Corporate Transactions Attorney, Houston · Magic Circle Firm

Magic Circle firm seeking an associate for its Houston corporate transactions group, with focus on energy and infrastructure transactions. Work centers on upstream, midstream, and downstream oil and gas matters.

The work:

• Acquisitions and divestitures of oil and gas assets and infrastructure
• Joint ventures and development projects
• Cross-border transactions and large-scale strategic deals
• Complex commercial arrangements including joint operating agreements and transportation agreements
• Client advisory on industry-specific commercial and operational matters

What they're looking for:

• At least 3 years of law firm experience in oil and gas, energy, infrastructure, or natural resources transactional work
• Proven experience with M&A and acquisition/divestiture transactions
• Strong drafting and negotiation skills, especially with energy industry documents
• Ability to independently manage transaction workstreams
• Deep understanding of upstream, midstream, LNG, offshore, and infrastructure dynamics
• Track record working with major energy companies, private equity sponsors, or infrastructure investors
• Texas Bar admission or eligibility
