Corporate Senior Associate, Palo Alto · Vault Top 10 Firm

Vault top 10 corporate firm seeking a senior associate to counsel emerging growth companies and venture investors. You'll bring 4-5 years of post-JD experience, handling complex financings, acquisitions, and formation matters for portfolio companies and institutional investors.

The work:

• Advise on equity financing structures, funding rounds, and cap table management for early-stage through growth-stage firms
• Draft and negotiate transaction documents including purchase agreements, equity certificates, and financing materials
• Handle mergers, acquisitions, and strategic transactions for emerging companies
• Serve as primary counsel to venture funds on portfolio company matters and investor relationships
• Manage junior attorneys and provide substantive legal mentoring on all matters

What they're looking for:

• 4-5 years post-JD in corporate transactions, startup law, or venture finance
• Proven drafting and negotiation skills managing full transaction lifecycles
• Demonstrated leadership ability in mentoring junior attorneys
