Corporate Governance Associate, Washington, D.C. · Vault Top 30 Firm
Mid-level associate role in a Vault Top 30 firm's corporate governance and special committee practice. You'll advise boards, special committees, and senior management on complex corporate law matters, including fiduciary duty issues, conflict transactions, shareholder activism defense, and M&A.
The work:
- Advise boards and special committees on fiduciary duties, conflicts of interest, and transaction structuring
- Support special committee representations in conflict transactions, including going-private deals and management buyouts
- Assist with shareholder activism preparedness, including governance audits and advance notice provision reviews
- Support Delaware Court of Chancery litigation matters
- Draft board materials, legal opinions, and client memoranda
What they're looking for:
- 3-6 years of experience at a major law firm with significant Delaware corporate law exposure
- J.D. from a top-tier law school with excellent academic credentials
- Deep understanding of Delaware General Corporation Law and Court of Chancery practice
- Exceptional legal research and writing skills
- Experience with special committees, conflict transactions, or M&A preferred
- California bar admission required; Delaware or Nevada bar a plus
- Ability to work independently and manage multiple matters simultaneously
Compensation: $260,000+. Direct mentorship from senior partners. Exposure to board-level clients including public companies, institutional investors, and private equity firms.
