Corporate Governance Associate, San Francisco · Vault Top 50 Firm

Associate with 3-6 years of experience to join the Corporate Governance and Securities practice. Work on board-level matters including special committee representations, M&A advisory, conflict transactions, and Delaware Court of Chancery litigation.

The work:

• Board-level advisory on fiduciary duties, conflicts of interest, and governance matters
• Special committee representations in going-private deals, management buyouts, and interested stockholder transactions
• Activism preparedness counseling and governance audits
• M&A transaction support including deal structuring and disclosure obligations
• Delaware Court of Chancery litigation matters
• Cross-practice collaboration on integrated client matters

What they're looking for:

• 3-6 years of experience at a major law firm with significant Delaware corporate law exposure
• Strong understanding of Delaware General Corporation Law and fiduciary duties
• Excellent legal research, writing, and analytical skills
• Bar admission in California (Delaware or Nevada a plus)
• J.D. from a top-tier law school with excellent credentials
