Corporate Capital Markets Associate, Multiple US Locations · Leading National Law Firm

Leading national law firm seeks mid-level corporate associate to join its capital markets and corporate practice across multiple US locations. You'll work on securities offerings, regulatory compliance, and corporate transactions for public companies and financial institutions.

The work:

• Prepare and review SEC filings including 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings
• Represent issuers and underwriters in public and private securities offerings
• Advise boards and management on disclosure obligations and corporate governance matters
• Support major corporate transactions including M&A, tender offers, and strategic investments
• Counsel clients on securities law compliance and stock exchange requirements

What they're looking for:

• 3–4 years of securities and capital markets experience
• Demonstrated skills in SEC reporting and Exchange Act filings
• Experience representing clients in equity and debt offerings
• Strong drafting and analytical abilities
• Juris Doctor and bar admission (or immediate eligibility)
