Corporate Capital Markets Associate, Multiple US Locations · Leading National Corporate Practice

This position offers hands-on experience in public company advisory and capital markets work. You'll counsel issuers, underwriters, and boards through securities transactions, regulatory filings, and governance matters.

The work:

• Manage SEC compliance across filings, disclosure obligations, and stock exchange rules
• Support equity and debt offerings in both public and private contexts
• Work on M&A, tender offers, and strategic transactions involving public companies
• Draft registration statements and respond to SEC comment letters
• Advise boards and management on governance and disclosure practices
• Handle capital markets transactions and general corporate matters

What they're looking for:

• Three to four years in securities law or capital markets
• Strong legal writing and analytical skills across transaction types
• Ability to manage multiple matters and competing priorities
• JD from an ABA-accredited law school
• Bar admission in your office location
