Vault Top 10 firm seeks a corporate associate (3rd-6th year) to join its private companies practice and advise venture-backed companies and their investors through all stages of growth, from seed through exit. Candidates will provide counsel on corporate matters, capital raises, and business transactions alongside a growing national team.

The work:

• Counsel early- and growth-stage companies on corporate matters and business operations
• Structure and negotiate venture capital financings and investment transactions
• Guide companies through key business transactions, acquisitions, and liquidity events
• Advise on cap table management, corporate governance, and regulatory compliance

What they're looking for:

• Minimum 3 years of corporate law experience at a national or international firm
• Strong background advising venture-backed and emerging companies
• Law degree from a nationally recognized institution
• Strong analytical, writing, and client communication abilities
