A top-tier corporate firm seeks a corporate governance lawyer to advise public companies on governance standards, regulatory compliance, and IPO-related matters. You'll handle Securities Exchange Act disclosure obligations, advise on corporate governance for public companies, and work on governance issues related to initial public offerings.

The work:

• Advising public companies on corporate governance standards and practices
• Handling SEC Exchange Act disclosure requirements and compliance matters
• Supporting initial public offerings with governance and regulatory guidance
• Drafting and negotiating governance-related agreements and documents
• Conducting legal research on securities regulation and governance

What they're looking for:

• 2-6 years of corporate or securities law experience
• Strong academic credentials from a top law school
• Demonstrated writing and legal research skills
• Experience advising public companies on disclosure and governance
• Ability to manage client matters and handle complex documentation

Salary range: $235,000 to $390,000 annually.
