Corporate Associate, Baltimore · AmLaw 200 Firm

A mid-market corporate and securities practice handles sophisticated M&A transactions and outside counsel work for established companies. You will support deal leaders managing purchase agreements, multi-discipline transaction teams, and client acquisition strategies, guiding work from due diligence through closing.

The work:

• Draft and negotiate purchase agreements, stock purchases, asset sales, and related transaction documents
• Lead and coordinate transaction teams across multiple practice areas
• Handle entity formation, capitalization, and structuring of business ventures
• Advise on general corporate and commercial agreements, including partnership and joint venture arrangements
• Support client acquisition strategies and day-to-day corporate counsel needs
• Advise on corporate governance matters and securities offerings where appropriate

What they're looking for:

• 3+ years of experience in M&A and corporate transactional work
• Ability to work independently and as part of transaction teams
• Strong drafting and negotiation skills with attention to detail
• Motivated to contribute to a client-focused practice
• Bar admission in the relevant jurisdiction (or waivable)
• JD required
