Capital Markets Associate, New York City · Vault Top 10 Firm

A Vault top 10 capital markets firm seeks a mid-level associate for its New York office, which recently added lateral partners to strengthen its practice. You'll work across the full spectrum of capital markets transactions: IPOs, secondary offerings, de-SPAC combinations, private placements, ATM programs and direct listings. Responsibilities include drafting and negotiating transaction documentation, managing SEC reporting and disclosure for public company clients, and coordinating capital markets-adjacent M&A and strategic transactions. The role emphasizes partnership with issuers, underwriters, investors and financial institutions on high-profile matters, with direct client contact and ongoing mentorship. You'll develop business judgment alongside technical legal skill through collaborative work with partners and colleagues across finance, tax, regulatory and M&A practices. Requires 4+ years of transactional experience with substantial equity or debt capital markets background, familiarity with SEC rules, strong drafting skills, and New York bar admission. Compensation range: $310,000-$390,000.
