Capital Markets Associate, Houston · Corporate Law Firm

The firm provides capital markets and securities advice to public and private companies on offerings, governance, and compliance. This role suits lawyers with 3-6 years' experience at a large firm looking to deepen securities expertise.

The work:

• Advise on public and private debt and equity offerings, from structuring through IPO and follow-on offerings
• Handle Securities Exchange Act reporting and day-to-day corporate governance for public companies
• Support clients on SEC compliance, stock exchange requirements, and disclosure obligations
• Advise on capital markets transactions including PIPEs, mergers and acquisitions, and routine securities matters
• Work with both issuer and underwriter clients across diverse capital markets transactions

What they're looking for:

• 3-6 years of experience at a large law firm focused on capital markets and securities
• Admitted to the Texas State Bar (required)
• Background in public and private offerings, securities compliance, and M&A transactions
• Understanding of SEC reporting obligations and public company governance
