Capital Markets Associate, Boston · AmLaw Global 100 Firm

AmLaw Global 100 firm seeks a mid-level capital markets associate with 3-5 years of experience for its Boston office. The associate will support a growing team serving public company clients.

The work:

  • Draft and negotiate transaction documents including underwriting agreements, purchase agreements, indentures, and offering materials
  • Advise public company clients on SEC compliance matters, including periodic reports, proxy statements, and Section 16 requirements
  • Conduct due diligence and coordinate processes for securities offerings and M&A transactions
  • Counsel clients on corporate governance, board and committee composition, independence standards, and stock exchange listing requirements
  • Represent SPACs and target companies in de-SPAC transactions, including PIPE investments and proxy/registration statement preparation

What they're looking for:

  • 3-5 years of capital markets and public company experience
  • Competency representing issuers and underwriters in securities offerings
  • Exposure to foreign private issuers and SPAC transactions preferred
  • Strong academic credentials, sound judgment, and project management ability
  • Ability to manage client relationships and significant responsibility in deal teams
  • Massachusetts bar admission or eligibility

Compensation: $260,000-$365,000 with comprehensive benefits and discretionary bonus potential.
