Capital Markets Associate, Boston · AmLaw Global 100 Firm
AmLaw Global 100 firm seeks a mid-level capital markets associate with 3-5 years of experience for its Boston office. The associate will support a growing team serving public company clients.
The work:
- Draft and negotiate transaction documents including underwriting agreements, purchase agreements, indentures, and offering materials
- Advise public company clients on SEC compliance matters, including periodic reports, proxy statements, and Section 16 requirements
- Conduct due diligence and coordinate processes for securities offerings and M&A transactions
- Counsel clients on corporate governance, board and committee composition, independence standards, and stock exchange listing requirements
- Represent SPACs and target companies in de-SPAC transactions, including PIPE investments and proxy/registration statement preparation
What they're looking for:
- 3-5 years of capital markets and public company experience
- Competency representing issuers and underwriters in securities offerings
- Exposure to foreign private issuers and SPAC transactions preferred
- Strong academic credentials, sound judgment, and project management ability
- Ability to manage client relationships and significant responsibility in deal teams
- Massachusetts bar admission or eligibility
Compensation: $260,000-$365,000 with comprehensive benefits and discretionary bonus potential.
