Capital Markets and M&A Associate, Houston · National Law Firm

A leading national law firm seeks a mid-level associate for its corporate M&A and securities practice. The role focuses on capital markets transactions, public company representation, and SEC compliance.

The work:

• Represent issuers in public and private securities offerings (debt and equity)
• Counsel public companies on SEC reporting, disclosure, and corporate governance
• Prepare and review Exchange Act filings (10-K, 10-Q, 8-K, proxy statements)
• Interface with SEC and other regulatory bodies
• Support public and private company M&A transactions

What they're looking for:

• 3-5 years of capital markets, securities, or M&A experience at a law firm
• Strong background in public company matters and SEC compliance
• Excellent communication and client relationship management skills
• JD from ABA-accredited law school
• Licensed or eligible to be licensed in Texas
• Willingness to be based in Houston with 3+ days/week in-office presence
