A Vault Top 10 firm is seeking a mid-level associate to join its Capital Markets team in San Diego. You'll work on securities offerings and capital-raising transactions for companies, private equity funds, and investment banks across industries. The practice has deep experience with public offerings, debt issuances, equity transactions, and alternative capital structures. The firm maintains a dedicated securities group in Washington that handles complex SEC and listing issues in real time.

The work:

• Structure and document securities offerings
• Advise on SEC compliance for public company clients
• Review and draft disclosure documents for offerings
• Support underwriters and issuers through transaction close
• Analyze regulatory requirements across jurisdictions
• Work on IPOs, debt placements, equity offerings, and direct listings

• Two years minimum experience in capital markets or public company work
• Strong legal writing and analysis
• Ability to manage multiple concurrent transactions
