Leading technology firm seeking associate with 2–4 years corporate or venture capital experience to join emerging companies and venture capital practice. You'll advise emerging companies, founders, and venture capital funds on financings, corporate governance, and strategic transactions. The practice serves the technology and startup ecosystem at every growth stage, from formation through later-stage capital raises.

The work:

• Advise on corporate governance, entity formation, and operational matters for emerging companies
• Support venture capital financings including seed, Series A, and later-stage rounds
• Represent venture capital funds and investors in venture investments
• Assist with M&A and secondary transactions involving emerging companies
• Draft and negotiate financing agreements, governance materials, and investor rights documents
• Collaborate with partners and clients across practice areas including technology transactions, privacy, and data security

What they're looking for:

• 2–4 years experience in corporate, venture capital, or emerging company work at a law firm
• Background in venture financings, startup formation, and general corporate matters preferred
• Strong drafting, negotiation, and analytical skills
• Ability to manage multiple matters in a fast-paced environment
• Interest in working with technology founders and venture investors
• J.D. and California bar admission
