Vault Top 10 firm seeking associate (3–5 years) for emerging companies and growth practice in New York. Role focuses on advising developing and public-stage companies through key business transactions and strategic milestones.

The work:

• advising emerging growth and public companies on corporate matters, capital raises, and transactions
• drafting and negotiating transaction documents, financing agreements, shareholder agreements, and corporate governance materials
• handling securities compliance and SEC matters related to public offerings and ongoing reporting
• M&A advisory and strategic transaction work
• cross-border and multi-jurisdictional matters

What they're looking for:

• 3–5 years of corporate law experience
• background in emerging companies, public company matters, or capital markets
• admitted to practice in New York
• strong drafting and communication skills
