An AmLaw 100 firm's nonprofit and tax practice seeks an associate to advise tax-exempt organizations on corporate, governance, and compliance matters. You'll work with experienced partners advising nonprofits, private foundations, educational and healthcare organizations, and other tax-exempt entities.

The work:

• Incorporating nonprofit entities and preparing IRS 501(c) tax-exempt status applications
• Drafting grant agreements, fiscal sponsorship documents, and joint venture arrangements
• Advising on mergers, asset sales, and entity dissolutions with regulatory approval coordination
• Counseling on fiduciary duties, conflicts of interest, and governance best practices
• Addressing charitable solicitation requirements and federal regulatory compliance matters

What they're looking for:

• Two to six years of relevant experience in corporate, governance, transactional, or tax work
• Background in nonprofit and tax-exempt organization law
• Prior experience in private practice, government service, or nonprofit in-house counsel roles
• Strong legal writing, research, and analytical skills
• New York bar admission
