Associate, Multiple US Locations · Vault Top 30 Firm

Associate position in a top-tier national law firm with offices across the United States, focusing on the emerging companies and venture capital practice. Handle the full spectrum of corporate work for early-stage and established private companies as well as venture investors.

The work:

• Counsel emerging companies and venture investors on formation, governance, and corporate matters
• Structure and negotiate venture capital financings, including term sheets and convertible instruments
• Support clients through mergers, acquisitions, joint ventures, and other strategic transactions
• Conduct due diligence and manage transaction closings
• Advise on board and shareholder governance issues
• Develop long-term client relationships and serve as outside corporate counsel

What they're looking for:

• Three to five years of corporate law experience
• Track record with venture capital or emerging companies transactions
• Strong research, writing, and analytical skills
• Ability to manage multiple client relationships
• Willingness to work in the office at least three days per week
