Associate - Liability Management, Multiple US Locations · Vault Top 5 Firm

A leading global law firm is recruiting a junior associate for its liability management practice. This team counsels sponsors, lending groups, and distressed investors on complex capital structure transactions spanning traditional finance arrangements, high-yield capital markets, and restructuring advisory in distressed scenarios.

The work:

• Conduct detailed structural analysis of corporate capital structures to identify viable liability management strategies
• Draft and negotiate transactional documentation including credit facilities, indentures, and intercreditor arrangements
• Research and present strategic alternatives in stressed and distressed capital situations
• Evaluate execution risk across multiple stakeholder positions and competing creditor interests
• Support senior attorneys in multi-party transaction negotiations

What they're looking for:

• 2-3 years of legal experience in capital markets, traditional lending, or restructuring
• Strong analytical and legal drafting capabilities
• Ability to manage complexity in transactions with multiple competing interests
• Emerging expertise in structured finance and distressed transaction contexts
